Ramanuj Mukherjee posted thisSomething changed in the American legal market over the last two years and most Indian lawyers haven't noticed it yet. For about fifteen years, when an American law firm wanted cheap help, they wanted hands. Someone to fill in forms, chase medical records, answer the phone, type the first draft. Real work, boring work, six to twelve dollars an hour. That work is going to software now. Quickly. So you'd think this is the worst possible moment to be an Indian lawyer looking at the US market. Then look at what the same firms are posting this year. A solo corporate lawyer in the US wants someone to do first-pass review on NDAs and vendor contracts, flag the risks, suggest the redlines, run the diligence checklist. Law degree required. US bar admission not required. $2,500 to $3,200 a month. A commercial firm in Texas, hiring for what they call a paralegal, says they want an internationally trained attorney. An AI company hiring someone to run entity formation and their compliance calendar says the job "can be executed from anywhere in the world." None of that is assistant work. They're asking for a lawyer. And the reason is almost funny. US courts have now recorded more than 1,600 judgments containing case citations the AI invented. Everything the machine writes has to be checked by somebody who can tell when it's wrong, and checking takes the same judgment that would have written it properly in the first place. One American firm owner put it bluntly on a forum where they talk among themselves: the firms that cut their support staff just moved the checking onto attorneys, who now do it at $250 an hour instead of $75, and hate it. So they need a legal mind and they can't find enough of them. A US firm bills a paralegal's hour at around $258, an associate's at $597, and 79% of American legal leaders say they're already paying above their own salary bands for anyone with a specific skill. You have the part that takes five years to build. Common law. English. The way the reasoning works. What you're missing is the forms, the authorities and the deadlines. Writing style. Legal knowledge, procedure and context peculiar to specific jurisdictions. That's months, not years. Learning that opens a rich market that is meritocratic, hungry and results driven.

Our side had legal representation. The other side didn’t have separate counsel. After several rounds of negotiation, the structure of the agreement changed, and at one point there was a discussion about having separate agreements instead of one tripartite agreement. What surprised me was the reaction from the other party. They didn’t want to completely separate from the legal team that had been negotiating the matter. Not because we were representing them. But because they had 𝘀𝗲𝗲𝗻 𝘁𝗵𝗲 𝘄𝗼𝗿𝗸. They had seen the questions being asked, the risks being addressed, the agreement being negotiated and the effort going into getting the structure right. And that moment stayed with me. Because lawyers often think our value is measured by the clauses we draft. Sometimes, it’s also measured by the 𝘁𝗿𝘂𝘀𝘁 𝗼𝘂𝗿 𝘄𝗼𝗿𝗸 𝗰𝗿𝗲𝗮𝘁𝗲𝘀. Ramanuj Mukherjee liked thisRamanuj Mukherjee liked thisWhy choose LLC in US if you're a early stage SAAS businesses? - Protects your personal assets in case of software breaches - Simplifies your taxation - Minimal annual state compliance filings and administrative costs. - Unlocks the USD payments But what if you scale the product and have plans to add the second partner? You don't need to dissolve and start over. Keep the same state LLC and update the ownership paperwork. In practice that means three things. First: Put the split in an amended operating agreement that covers capital contributions, voting, profit distributions, and what happens if someone leaves. Second: Check your articles of organization with the secretary of the state. If members or managers are listed there, you may need to file an amendment so the public record matches. Third: For the IRS a single-member LLC is disregarded. Once you add a second member it generally becomes a partnership. That usually means getting a new EIN and filing Form 1065 with K-1s going forward. Banks and payment processors will want the updated docs and EIN once ownership changes. A Colorado business attorney reviewing the operating agreement before money changes hands is worth it. But if you're adding partner your withholding tax will also increase by lot of folds. So it's better to go for c-corp instead of multi member LLC esp for non US residents.

It just lives in their head which means the business can't run for more than a few days without them. A client of mine could do her weekly client report in her sleep. Fifteen years of experience, instant instincts, zero notes written down. The problem: nobody else could do it, including anyone she might ever hire. We spent one afternoon changing that. Not writing a manual. Just recording her doing the task once, talking through every step out loud. 1. What she checks first, and why. 2. The exact format she uses, and the shortcuts she'd never think to mention because they're second nature to her. 3. The judgment calls the parts that aren't a fixed formula, so a future hire knows when to ask instead of guessing. That messy 20 minute recording became a simple written process. Not polished. Just real. Within a month, I was doing that report independently. Not because I was as experienced as her. Because the knowledge finally existed somewhere outside her head. Every task you can only do yourself is a task your business can't survive without you. Documentation isn't busywork. It's the difference between a business and a very demanding job. Ramanuj Mukherjee liked thisRamanuj Mukherjee liked thisPratap Singh Chundawat rescued a leopard from a well. He died in the line of duty, aged 40. On April 9, a farmer named Rupalal heard noises in a well at his field in Dhawadi village in the state of Rajasthan in India. He looked down and saw a leopard 21 meters (70 feet) below. A Rajasthan Forest Department team arrived at the scene and lowered a cage into the well, but the leopard would not enter. So Pratap Singh Chundawat, a ranger, descended into the shaft by rope. He tranquilized the animal with a dart gun, and the team was able to remove it safely. Before its release, the leopard was given a veterinary examination, which found that it was a healthy, one-and-a-half-year-old male. For Chundawat, while the event was particularly dramatic, it was in line with his work. Chundawat was well known for wildlife rescues and his work in tree nurseries, and had won awards at the district and division level. On the eve of this year’s World Environment Day, the Rajasthan Environment and Energy Conservation Centre honored Chundawat in Jaipur, the Rajasthan state capital, for “outstanding contributions to forest and wildlife conservation.” Suresh Agrawal, deputy conservator of forest in Rajasthan’s Pratapgarh district, called Chundawat “our best officer.” On Sept. 22, Chundawat died after he was run down by people allegedly involved in a local soil mining mafia. According to news accounts, at roughly 11:30 p.m. on Sept. 21, forest staff were notified that an earthmover and a truck were being used to extract thick gaara soil, used for construction, from forest land. Chundawat and two forest guards went to the scene. When the truck fled, Chundawat pursued it on his motorcycle. The truck struck Chundawat and dragged him and his motorcycle. The driver was allegedly told to “run it over him.” Chundawat was taken to a hospital and died the following day. He was 40. Chundawat leaves behind a wife and two children. He was laid to rest in his native village in neighboring Chittorgarh district.

Stop treating that "By using this website, you agree to our Privacy Policy" banner as a legal shield. Under India’s Digital Personal Data Protection Act (DPDPA) 2023 and the 2025 Rules, it’s closer to a target on your back. Implied consent is officially dead. If your user hasn’t made a clear, conscious, and un-coerced choice to hand over their data, you aren’t compliant — you’re just lucky you haven’t been caught yet. A buried checkbox or “take it or leave it” banner won’t save you from penalties that can hit ₹250 crore. Here’s the 4-layer reality check every Indian founder and General Counsel needs to run today: 1. The Collection (No more bundling) Consent isn’t a “take it or leave it” deal. You can’t force someone to agree to marketing emails or third-party sharing just to use your core product. It has to be granular, in plain language, purpose-specific, and — crucially — not pre-ticked. Clear affirmative action only. 2. The Paper Trail (Documentation) If the Data Protection Board knocks, “they clicked a button” isn’t enough. You need a timestamped, immutable record of: • Who said yes • Exactly which version of the notice/policy they saw • How they gave consent (and the metadata) No audit trail = no defence. 3. The “Easy Exit” (Withdrawal) This is where 90% of companies quietly fail. If it took one click to give consent, it must take one click (or equally simple) to withdraw it. No 5-step email chains. No “please call customer care”. Immediate stop of processing + deletion (unless legally required to keep it). 4. The Regular Review (Not “set it and forget it”) Consent isn’t permanent. Change your tech stack, add a new purpose, or update processing? You likely need fresh consent. Significant Data Fiduciaries are already looking at annual audits and DPIAs — smart teams do quarterly health checks to stay ahead. The Hard Truth: Most companies obsess over the “Collection” banner and completely ignore the documentation, withdrawal infrastructure, and ongoing review systems. That’s exactly where the regulatory hammer falls. Day 15/28 How CETA Article 12.13 aligns DPDP and UK GDPR through online consumer protection Indian founders and in-house counsel building UK-facing SaaS or e-commerce should pay close attention to this. CETA Chapter 12 on Digital Trade, particularly Article 12.13, does not regulate data protection directly. Instead, it requires strong online consumer protection against unfair and deceptive practices. In doing so, it creates practical alignment between India’s DPDP Act and the UK’s digital compliance ecosystem. Here is how the alignment works in practice: 1. Deceptive design is prohibited Article 12.13 restricts misleading online conduct. Dark patterns that weaken valid DPDP consent also trigger UK consumer enforcement. One design choice can violate both regimes. 2. Transparency becomes non-negotiable Clear disclosure of rights, remedies, and data use is central to Article 12.13. This complements DPDP notice requirements and UK GDPR transparency obligations. 3. Redress is mandatory, not optional Businesses must provide accessible complaint and dispute resolution mechanisms. This aligns DPDP grievance handling with UK consumer redress expectations. 4. Online equals offline Digital consumers must receive the same protection as offline buyers. This closes the gap between DPDP data minimisation principles and UK e-commerce rules. As CETA progresses, aligning privacy notices, consent flows, and grievance mechanisms now can materially reduce UK market entry friction. Building UK-facing SaaS? Automotive Research Association of India, the Supreme Court delivered a significant judgment regarding the rights of contractual workers hired through third-party service providers.
