Delhi ITAT: Loan to concern not taxable as deemed dividend where recipient is not shareholder BSST India Private Limited v. CIT [TS-1749-ITAT-2025(DEL)] The assessee company had received an unsecured loan from another closely held company in which a common individual held substantial shareholding. The Assessing Officer treated the loan as deemed dividend under section 2(22)(e) on the ground that the common individual was a beneficial shareholder having substantial interest in both the lender and the assessee company. The Tribunal examined whether a loan or advance could be taxed as deemed dividend in the hands of a concern which is not a shareholder of the lender company. It was noted that although the common individual was the beneficial shareholder in both entities, the assessee company itself did not hold any shares in the lender company. Relying on settled judicial principles, the Tribunal held that section 2(22)(e) applies only where the recipient of the loan is a shareholder of the lender company. A concern cannot be treated as a shareholder merely because a common shareholder has substantial interest in both entities. Accordingly, the unsecured loan received by the assessee could not be regarded as deemed dividend, and the addition was deleted.

💰 How to Split Your Investments — The Art of Building a Financial Thali When you invest, think of your portfolio as a “Thali” (platter) — It must have the right mix of everything: some spicy, some solid, some soothing. Too much of one thing — and it either burns your tongue (risk) or leaves you hungry (low returns). Now let’s serve it course by course 👇 🥗 1️⃣ Equity – The Spice of Growth Like the mirch tadka in your food — equities (direct stocks or equity mutual funds) give flavor and growth. They’re volatile — but without them, your portfolio tastes bland. They beat inflation and build wealth over time, but can burn if you overdo them. 👉 For someone in their 30s with stable income and moderate risk appetite, equity allocation can be around 40–50%. Example: ₹10 lakh total investment → ₹4–5 lakh in equities or equity MFs. 🍚 2️⃣ Mutual Funds – The Balanced Curry Mutual funds blend flavors — part spice, part comfort. They’re like your dal makhani — consistent, comforting, and easy to digest. RBI & Proportionate Regulation: Reading Between the Lines The RBI’s February 2026 policy statement points to a meaningful shift for NBFCs and FinTechs — from uniform compliance expectations to risk-aligned, conduct-focused regulation. While certain low-risk NBFC structures may see regulatory rationalisation, customer-facing and digital models will likely be subject to closer supervisory attention. The emphasis is clearly moving beyond checklists to governance, conduct and customer outcomes. This is less about regulatory relief and more about how organisations internalise compliance into their business strategy. 🏛️ NCLAT: Insolvency Courts Can Evict Subsidiaries During Liquidation:- The National Company Law Appellate Tribunal, New Delhi, has upheld the NCLT Ahmedabad’s order directing eviction of subsidiary companies from properties owned by a corporate debtor in liquidation—clearly affirming the reach of insolvency jurisdiction under the IBC. 🔑 Clear Holding The NCLAT ruled that the NCLT can invoke Section 60(5) of the Insolvency and Bankruptcy Code to: • recover possession of the corporate debtor’s properties, and • direct payment of rent / licence fees, where the underlying lease or licence is invalid and the issue has a direct nexus with liquidation. 🧩 What Triggered the Dispute • The corporate debtor entered CIRP and was later ordered into liquidation. • Its subsidiaries continued occupying company-owned premises in Ahmedabad and Mumbai. • One lease was executed on the very date CIRP commenced (hit by moratorium). • The other occupation was based on an unregistered licence, invalid under state rent law. ⚖️ Why Insolvency Jurisdiction Applied Rejecting the argument that eviction is a “purely contractual” issue, the Tribunal held: • A liquidator is statutorily bound to take custody of all assets. • Invalid or post-moratorium agreements cannot defeat liquidation. • Section 60(5) empowers the NCLT to decide all questions connected with insolvency or liquidation. 📌 Key Clarification So long as the dispute has a clear insolvency or liquidation nexus, the NCLT’s residuary jurisdiction cannot be questioned. ✅ Outcome • Appeals dismissed • Eviction orders upheld • Properties directed to be brought into the liquidation estate #NCLAT #IBC #InsolvencyLaw #Liquidation #Section60IBC #LiquidatorPowers #Moratorium #CorporateDebtor #CompanyLaw #InsolvencyProceedings

SEBI's FAQs raises concern for several listed companies. Identification as part of 'promoter group' not only results in identification as a related party (attracting the RPT regime for all the dealings) but also requires disclosure in the shareholding pattern, irrespective of any shareholding. Bombay High Court: Penalty u/s 271(1)(c) Unsustainable When Additions Are Based on Estimation Without Concrete Evidence 📅 Case Law Date: 16 September 2025 ⚖️ Court: High Court of Bombay 📌 Case: Principal Commissioner of Income-tax v. Colo Colour (P.) Ltd. 📑 Citation: IT Appeal No. 48 of 2022 📝 Department: Income Tax Facts of the Case The assessee, engaged in operating a photo studio and trading in photographic materials, declared an income of ₹4.33 lakhs. The case was reopened based on Sales Tax Department information alleging bogus purchases. The assessee furnished invoices, stock registers, bank statements, and challans to support its claims. Despite the absence of direct evidence, the AO rejected the books u/s 145(3) and made additions on an estimated profit basis — 12.5% profit + 1% commission. A penalty was imposed u/s 271(1)(c) for concealment and furnishing inaccurate particulars. Court’s Observations & Decision Penalty u/s 271(1)(c) cannot be imposed where additions are made purely on estimation or presumption, without solid evidence of concealment. The AO’s reliance solely on external Sales Tax Department data — not shared with the assessee — and absence of independent inquiry rendered the penalty unjustified. Since the assessee had provided all primary documents and the additions were ad-hoc in nature, there was no deliberate concealment. The Court upheld the deletion of penalty and ruled in favour of the assessee. Key Takeaway Penalty under Section 271(1)(c) must rest on clear evidence of concealment or misreporting.
