Introduction and Acceptance of Terms

Welcome to Palaura, a dating app for serious relationships, where AI does the matchmaking. Palaura helps adults meet compatible people for dating and relationships. Palaura is operated by PALAURA AI PTE. LTD. ("Palaura," "we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any of these terms, please do not use our service.

These Terms constitute a legally binding agreement between you and Palaura regarding your use of our services.

Eligibility

To use Palaura, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our services under applicable law
• Not have been previously banned or removed from our service
• Not be required to register as a sex offender with any government authority

By using Palaura, you represent and warrant that you meet all eligibility requirements.

Description of Service

Palaura is a dating app where AI does the matchmaking. Palaura can:

• Get to know you: Learn about you and what you are looking for through conversation, including text and voice, and build your dating profile
• Recommend people: Suggest people who may be a good fit and learn from your feedback
• Talk with other matchmakers: Talk with other members' Palaura matchmakers on your behalf to see whether there is mutual interest
• Make introductions: Introduce you to a match only when both of you say yes, and pass messages between you

You can use Palaura through supported personal AI agents, on our website at heypalaura.com, and by text message.

Your AI Matchmaker

• By using Palaura, you authorize your Palaura matchmaker to represent you in conversations with other members' matchmakers and to share information from your profile as described in our Privacy Policy
• Your matchmaker does not share your exact location, your contact details, or information our Privacy Policy describes as private
• A record of a matchmaker conversation about a potential match may be shown to both members
• You are responsible for the accuracy of the information you give your matchmaker

User Accounts

Account Creation

• You must provide accurate, current, and complete information when creating your account
• You are responsible for maintaining the accuracy of your account information
• You may only create one account per person

Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activities that occur under your account

Account Information

• Your account information must represent you truthfully
• You may not impersonate another person or create a fake identity
• You may not include false information about your identity
• Photos on your profile must be of you

Messages From Palaura

• By connecting your phone number or messaging account, you agree to receive messages from Palaura, such as recommendations, updates, and replies, through the channel you use and by email
• Message and data rates may apply
• You can stop receiving messages at any time by contacting [email protected] or by deleting your account

User Conduct

You agree NOT to:

Prohibited Behaviors

• Harass, abuse, threaten, or intimidate others through the service
• Send spam, unsolicited messages, or promotional content
• Use the service for any illegal purpose
• Post or transmit any content that is defamatory, obscene, or offensive
• Ask other members for money, gifts, or financial information, or promote investments or other financial schemes
• Use Palaura to advertise, solicit, or offer commercial or sexual services

Content Restrictions

• Share sexually explicit or pornographic content
• Share content that promotes violence or illegal activities
• Share personal contact information of others without consent
• Share content that infringes on intellectual property rights

Service Misuse

• Attempt to access other users' accounts
• Use bots, scrapers, or scripts to collect other members' information, create or control accounts other than your own, or send messages in bulk
• Reverse engineer or attempt to extract source code from our service
• Circumvent any security measures or access restrictions
• Use the service for commercial purposes without authorization

Reporting

• You can report inappropriate behavior or content to [email protected]
• We investigate all reports and take appropriate action
• False reports may result in account termination

AI Service Limitations

Nature of AI Responses

• Palaura's AI provides responses based on algorithms and the information you share
• AI responses are not a substitute for professional counseling, therapy, or legal advice
• We do not guarantee the accuracy of AI-generated responses or recalled information
• AI responses are suggestions only; you are responsible for your own decisions
• We do not guarantee that you will find a match or a relationship

Accuracy and Reliability

• While we strive for accuracy, AI-generated content may sometimes be incorrect or incomplete
• We continuously work to improve our AI but cannot guarantee error-free service
• You should use your own judgment when following AI suggestions

Your Safety

• Palaura does not conduct criminal background checks and does not verify every member's identity or statements
• You are solely responsible for your interactions with other members, online and in person
• Use caution when meeting someone in person: meet in a public place, tell a friend where you will be, and never send money to someone you have not met
• Report safety concerns to [email protected]. In an emergency, contact local authorities

Third-Party AI Assistants

• If you use Palaura through a third-party AI assistant or agent, your use of that assistant or agent is also governed by its provider's terms and privacy policy
• We are not responsible for the third-party assistant or how its provider handles your information
• Some Palaura features may not be available through every assistant
• You may let a personal AI agent use Palaura for you with your own account. Anything it does with your account is treated as your own action and must follow these Terms

Subscription and Payments

Subscription Plans

• Access to certain features requires a paid subscription
• Subscription details and pricing are available on our pricing page
• Monthly and annual subscriptions automatically renew at the interval shown at checkout unless you cancel before the renewal date
• You can cancel online at any time through your account settings

Billing

• You authorize us to charge your payment method for subscription fees
• A continuously active Palaura Membership subscription keeps its original price
• If you cancel that subscription and subscribe again later, the then-current price applies
• Prices for other products may change with reasonable notice
• Payments are processed by the payment provider shown at checkout

Palaura Intros

• Intros are Palaura internal usage allowances, not cash. They have no cash value and cannot be exchanged for cash
• One intro means Palaura talks with another person's matchmaker and reports the result back to you, whether or not it is a match
• If Palaura cannot report a result back to you, that attempt does not count as an intro
• When another person's matchmaker contacts Palaura because that person is interested in you, it does not use your intros
• Intro packs do not expire
• Free and membership intros expire at the end of the cycle shown in your account and do not roll over
• When intros are used, Palaura uses those that expire sooner before non-expiring intro-pack intros

Cancellation and Refunds

• You may cancel your subscription online at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• Canceling a subscription does not revoke membership intros already granted. Those intros remain available until their normal expiration
• If you cancel an annual subscription without receiving a refund, the monthly intro allocations covered by the paid annual term continue to become available on schedule
• The self-service refund window applies only to the first subscription payment and runs for 7 × 24 consecutive hours from paidAt. paidAt is the time when the payment provider confirms that the payment succeeded. Availability also requires payment-provider support and compliance with applicable law
• Renewal orders and intro-pack orders are not eligible for this self-service refund window
• A confirmed refund cancels the related subscription. A refund only revokes unused intros tied to the same order, including future intro allocations that have not yet become available
• Intros already used do not create a negative balance and are not recovered from another order, free-intro allocation, or intro pack

Free Features

• Palaura's basic features are free, including building your profile, getting recommendations, being recommended to others, and connecting with your matches
• Membership adds extra benefits on top of the free features

Intellectual Property

Our Content

• All content, features, and functionality of Palaura are owned by us
• Our trademarks, logos, and service marks are protected
• You may not copy, modify, or distribute our content without permission

Your Content

• You retain ownership of content you submit, such as messages, photos, and profile information
• You grant us a license to use, store, and display your content to provide and improve our services, including showing your profile to other members
• You represent that you have the right to share any content you submit

Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Termination

By You

• You may delete your account at any time in your account settings or by contacting support

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in conduct harmful to others
• Provide false information
• Fail to pay subscription fees
• For any other reason at our reasonable discretion

Effect of Termination

• Upon termination, your right to use the service ceases immediately
• We may retain certain information as required by law or for legitimate business purposes

Disclaimers

Service Availability

• The service is provided "as is" and "as available"
• We do not guarantee uninterrupted or error-free service
• We may modify, suspend, or discontinue features at any time

No Guarantees

• We do not guarantee the accuracy, completeness, or timeliness of stored information
• We do not verify the accuracy of user-provided information
• We are not responsible for any loss resulting from inaccurate AI responses

Third-Party Services

• Our service may integrate with third-party services
• We are not responsible for third-party services or their content

Limitation of Liability

To the maximum extent permitted by law:

• Palaura shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim
• We are not liable for any loss or damage arising from your use of the service

Indemnification

You agree to indemnify and hold harmless Palaura, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another person or entity

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

Informal Resolution

Before filing a formal dispute, you agree to contact us at [email protected] to attempt to resolve the issue informally.

Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Sending you an email notification

Your continued use of the service after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
