ACCEPTANCE OF TERMS

Setapp is a platform for macOS, iPadOS and/or iOS* devices that allows You to access and download computer and/or mobile applications (“Developer Content”, “Developer App”) from developers (“Developers”) (hereinafter, together with its website www.setapp.com and Setapp application - “Services”).

Setapp is a platform for Mac, iPad, and/or iOS devices, that lets You download and use computer and/or mobile apps from different developers. It works in two ways:

  • Setapp Membership – a subscription that gives You access to a whole collection of apps.
  • Setapp Single App – a subscription that gives You access to a specific app without subscribing to Setapp Membership.

Setapp operates in two formats: Setapp Membership and Setapp Single App.

  • Setapp Membership means that You, as an end user, can purchase a subscription to the Setapp platform, which grants You access to a curated catalog of Developer App available on the platform.
  • Setapp Single App means that You, as an end user, can purchase a subscription to a specific Developer App independently, without subscribing to the entire Setapp platform.

You can choose the option that suits You best.

You are free to choose the format most comfortable for You.

These Terms of Use (the “Terms”) constitute an agreement between the customer (“You”, “Customer”, “User”) and MacPaw Way Ltd., registration number 428214, or our affiliates (“MacPaw”, “we” or “us”). You agree to be bound by these Terms whenever You use the Services. Therefore, by using the Services, You expressly accept and agree to comply with these Terms. "Use" or "using" means to access, download, install and/or use the Services. If You do not agree to these Terms, do not use the Services. Each time You use the Services, the current version of these Terms will apply.

These Terms of Use are an essential agreement between You (the customer) and MacPaw. Using the Services means accessing, downloading, installing, and/or using Setapp. If You don't agree to these Terms, don't use the Services. Each time You use the Services, the current version of the Terms applies.

Your use of the Services is also subject to our Privacy Notice incorporated into these Terms by reference. We reserve the right to make changes or modifications to these Terms in our sole discretion at any time and for any reason.

Privacy Notice is also a part of these Terms of Use.

We may need to update these Terms to keep pace with changes in Services, activities, and laws applicable to us and You. We will, however, always maintain our commitment to respect Your privacy. We will notify You of any material changes that impact Your rights under these Terms. We recommend that You periodically check these Terms to stay informed of any changes.

We may update these Terms to keep pace with changes in the Services, activities, and laws. We'll notify You of any important changes.

We may also modify, update, or discontinue any aspect of the Services, including but not limited to features, functionality, subscription plans, pricing, and Developer Content, to reflect business, legal, or technical changes. Where required by law, we will provide prior notice of material changes affecting Your rights.

We may change or remove parts of the Services—like features, functionality, subscription plans, pricing, and Developer Content—for business, legal, or technical reasons. If the changes affect your rights and the law requires it, we’ll let you know in advance.

Please note that Your continued use of the Services after any change means that You agree with and consent to be bound by the new Terms.

If You disagree with any changes in these Terms, You will need to stop using the Services.

Additionally, we continually test various aspects of our Services, including but not limited to our website, user interfaces, service levels, plans, features (including AI features), and pricing. We reserve the right to, and by using our Services, You agree that we may include You in or exclude You from these tests without notice.

We sometimes test different features, prices, and other parts of our Services. By using Setapp, You agree that we may include or exclude You from these tests without telling You.

USE OF SERVICES & AGE RESTRICTIONS

You may need to create an account to use the Services (“Account”). You are responsible for safeguarding Your Account, including any credentials or access methods used to access the Services. Accordingly,use a strong password and limit its use to this Account. We cannot and will not be liable for any loss or damage of access, data, or Services arising from forgotten credentials, unauthorized use, or Your failure to comply with the above.

To use the Services, You might need to create an account. You must keep Your account safe with a strong password and only use it for this account. We aren't responsible for any loss or damage caused by forgotten credentials, unauthorized use, or Your failure to follow these rules.

You use the Services at Your own risk and responsibility and are solely and exclusively responsible for using the Services. We will not be liable for any of Your actions done using the Services.

You use the Services at Your own risk, and You're solely responsible for what You do with them.

The Services are not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.

The Services shouldn't be used in ways that are against the law in any country.

Those who choose to use the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Make sure You follow local laws when using the Services.

By using the Services, You confirm that You are at least 18 years old (or if You are between 13 and 17 years old, inclusive, that You are using the Services only with the approval of Your parent or guardian), that You are legally able to enter into this Agreement, and that You have read, understand and agree to be bound by this Agreement.

By using the Services, You confirm that You're at least 18 years old. If You're between 13 and 17, You need Your parent or guardian's approval. You also confirm that You understand and agree to these Terms.

Setapp, Services, or Developer Content may need to be updated, for example, for bug fixes, enhanced functions, missing plug-ins and new versions (collectively, “Updates”). Such Updates may be necessary in order for You to use Services or to access, download, or use Developer Content.

Setapp, Services, and Developer Content may need updates for bug fixes, new features, or security improvements. These updates help everything work properly.

By agreeing to these Terms of Use and using Setapp, You agree to receive such Updates automatically. You may be able to manage Updates to certain Developer Content via Settings in Setapp. If it is determined, however, that the Update will fix a critical security vulnerability or critical operability issue related to Services or the Developer Content, or will prevent abuse, the Update may be completed irrespective of Your Update settings in Setapp or Your device. If another app store attempts to update Developer Content that was initially downloaded from Setapp, You may receive a warning or such updates may be prevented entirely.

By using Setapp, You agree to get updates automatically. You can control some updates in settings, but important security fixes may install no matter what.

Developers are solely responsible for maintaining and updating their Developer Content. We are only responsible for updates to Setapp itself and do not guarantee or provide updates for any Developer Content.

If You get Developer Content from Setapp, updates from other app stores might not work. Developers update their own content—we only update Setapp.

We are limiting the number of devices that can access Setapp or Developer Content simultaneously under Your account. This limitation applies to both Setapp Membership and Setapp Single App.

You can only use Setapp or Developer Content on a limited number of devices at the same time.

With your Setapp Membership, you can access Setapp and Developer Content on the number of devices included in the subscription plan you selected and purchased.

Setapp Membership: You can use Setapp on as many devices as your subscription plan allows.

In Setapp Single App, you can choose between two types of licenses: per device or per user (depending on specific Developer App).
With per device licensing, the number of devices that can use the app is limited to the specific quantity you select and purchase.
With per user licensing, one user can access the app on up to three devices at the same time.

Setapp Single App: You have two options:

  • Per device: The app can be used only on the number of devices you pay for.
  • Per user: One person can use the app on up to three devices at once.

INTELLECTUAL PROPERTY RIGHTS & LICENSE

Setapp Membership. Unless otherwise indicated, the Services are our proprietary property, and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics at the Services (collectively, "Content") including but not limited to the structure, selection, coordination, expression, "look and feel" and arrangement of such Content, and the trademarks, service marks, and logos contained therein ("Marks") are owned or controlled by us or licensed to us, and are protected by law. The Content and the Marks are provided at the Services "AS IS" for Your information and personal use only.

Setapp Membership. The Services belong to us, and everything in them, like source code, designs, and trademarks (the “Content”) belong to Us. You can use the Content and trademarks for personal use only.

Except as expressly provided in these Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Without our permission, You can't copy, sell, or use them for any commercial purposes. If You're allowed to use the Services, we give You a limited right to use them on Your devices as long as You follow these Terms.

Provided that You are eligible to use the Services, we grant You a revocable, non-exclusive, non-transferable, limited right to install and/or use the Services on wireless electronic devices owned or controlled by You, and to access and/or use the Services on such devices strictly in accordance with these Terms.

Setapp Single App. After completing a transaction or paying the applicable fees for the Developer Content, You will have the non-exclusive right, solely as expressly permitted in these Terms and associated policies, and in the Developer's agreement (as defined in Section 10 of these Terms of use), to store, access, view, use, and display copies of the applicable Developer Content on Your devices or as otherwise authorized for Your personal, non-commercial use only. All rights, title and interest in Services and Developer Content not expressly granted to You in the Terms or/and in the Developer's agreement are reserved.

Setapp Single App. After You pay for the Developer Content, You get a non-exclusive right to store, access, view, use, and display it on Your devices—only as allowed by these Terms and the Developer's agreement (see Section 10). This right is for personal, non-commercial use only. Any rights not explicitly given to You remain reserved.

YOUR USE OF SETAPP’S AI

We may introduce Artificial intelligence (AI) features. Additional terms may apply when you use Setapp’s AI services and/or features. We may also conduct testing of Setapp’s AI services and/or features, which may be temporarily included in the Services. We reserve the right to discontinue these features at any time or require additional payment for their continued use.

We might add AI features to Setapp. Some extra rules may apply when you use them. We might also test AI features for a while. We can remove them anytime or ask for extra payment to keep using them.

You may use our AI features to submit inputs and receive either generated outputs or recommendations. When You use our AI features, the inputs and outputs are Your User Content. You are responsible for Your User Content and will not use Setapp’s AI features in a way that infringes, violates, or misappropriates any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering AI, outputs may not be unique and Setapp may generate the same or similar output for third parties.

You can use our AI to enter text and get answers or suggestions. What you type and receive belongs to you, and you're responsible for it. Don't use AI in a way that breaks rules or harms others. Since AI learns from data, it might give the same answers to different people.

You may not use Setapp’s AI features:

  • To develop AI models that compete with Setapp’s AI;
  • To mislead any third party that any output from Setapp’s AI was solely human generated;
  • In a manner that violates these Terms, Setapp documentation or policies.

You can’t use Setapp’s AI to create competing AI, trick people into thinking AI-made content is human-made, or break Setapp’s rules

CUSTOMER REPRESENTATIONS

By using the Services, You represent and warrant that:

  • You have the legal capacity, and You agree to comply with these Terms;
  • You will not use the Services with the help of automated or non-human means, whether through a bot, script, or otherwise;
  • You will not use the Services for any illegal or unauthorized purpose, and
  • Your use of the Services will not violate any applicable law or regulation.

When You use the Services, You promise that:

  • You can legally agree to these Terms, and You will follow them;
  • You won't use any automated or non-human methods to access the Services;
  • You won't use the Services for anything illegal or unauthorized;
  • Your use of the Services won't break any laws.

If You provide any untrue, inaccurate, not current, or incomplete information, we have the right to refuse any and all current or future use of the Services (or any portion thereof).

If You give us false or incomplete information, we can refuse to let You use the Services now or in the future.

SETAPP MEMBERSHIP

Customers can choose to purchase a subscription to the Services to access the curated catalog of Developer Content available on the platform (all-you-can-eat model, hereinafter - “Setapp Membership”).

Customers can subscribe to Setapp Membership to access a curated catalog of Developer Content on the platform.

If You purchase a Setapp Membership, You agree to pay the subscription price listed on the purchase page for the subscription period indicated thereon.

When You buy a Setapp Membership, You agree to pay the listed price for the subscription period. Prices and plans may vary by country or region.

Please note that prices, functionality and/or subscription plans may vary depending on Your country or region.

YOUR SUBSCRIPTIONS TO SETAPP MEMBERSHIP WILL BE AUTO-RENEWED WITHIN 24 HOURS PRIOR TO THE END OF THE CURRENT SUBSCRIPTION PERIOD AT THE THEN-CURRENT RATE UNLESS AUTO-RENEWAL IS TURNED OFF. You can cancel a recurring subscription in Your Account. A canceled subscription will not be refunded for the unused part of the ongoing Services period. Additional terms or conditions may apply to a subscription at the time of order or renewal.

YOUR SUBSCRIPTION TO SETAPP MEMBERSHIP WILL AUTOMATICALLY RENEW UNLESS YOU TURN OFF AUTO-RENEWAL IN YOUR ACCOUNT SETTINGS AT LEAST 24 HOURS BEFORE IT ENDS. You can cancel a recurring subscription in Your account, but You won't get a refund for the unused part. Other terms may apply when You order or renew.

Additionally, when You purchase a subscription to Setapp Membership, You authorize us to use the payment information we have on file for You to renew the subscription as described herein. We may, but are not required to, contact You via email or Your Account prior to the end of Your subscription to let You know that Your subscription will auto-renew. If You are directed to our third-party payment processor(s), You may be subject to terms and conditions governing the use of that third party’s service and that third party’s personal information collection practices. Please review such terms and conditions and privacy policy before using the Services.

By purchasing a subscription to Setapp Membership, You allow us to use Your payment information to renew it. We might email You before it renews. If You're directed to a third-party payment processor, check their terms and privacy policy before using it.

SETAPP SINGLE APP

Customers can choose to purchase a subscription that gives access to a specific Developer App on the Setapp platform meaning that You can pay for a subscription to specific Developer App independently, without subscribing to the entire Setapp Membership (“Setapp Single App”).

Customers can subscribe to a Developer App on Setapp, meaning they pay for a specific app’s subscription without buying a subscription to the entire Setapp Membership.

If You subscribe to a Developer App separately, You agree to pay the price listed on the purchase page and You agree that such payments are recurring. The prices for the Developer Apps are determined solely by the Developers and are not set or controlled by us. Developers reserve the right to modify the pricing of their Developer App(s) at any time. While we will take reasonable measures to encourage Developers to provide timely notice of any price changes, We do not guarantee such notifications. By purchasing a Developer App, You acknowledge and agree that pricing modifications are at the discretion of the Developer. We strongly advise You to review the Developer’s End User License Agreement (EULA) or Terms of Use regarding pricing changes, as all pricing adjustments within the Single App model are governed exclusively by the Developer’s terms.

If You subscribe to a Developer App separately, You agree to pay the listed price and You agree to auto renewal of such payments. Developers set their own prices and can change them anytime. While we try to ensure they notify You of changes, we can’t guarantee it. By purchasing the Developer App, You accept that price changes are up to the Developer. We recommend checking the Developer’s End User License Agreement (EULA) or Terms of Use for details on pricing.

If You are directed to our third-party payment processor(s), You may be subject to terms and conditions governing the use of that third party’s service and that third party’s personal information collection practices. Please review such terms and conditions and privacy policy before using the Services.

If we use a third-party payment processor, their terms and privacy policy will apply to You. Please review them before making a purchase.

TRIAL PERIOD

Setapp Membership. When You sign up for a Setapp Membership subscription, we may offer You a free trial period as indicated on the Services (“Trial Period”). If we offer You a Trial Period, we still may require that You add a valid payment method to activate the trial. At the end of the Trial Period, Your Setapp Membership subscription will automatically renew at the then-current rate unless You cancel the subscription before the end of the Trial Period through Your Account or by contacting us. If Your Setapp Membership subscription begins following the Trial Period, but You do not access or use any of the Developer Content following the end of the Trial Period, we will refund the fees charged for the Setapp Membership subscription on Your request in accordance with our Refund Policy available via link. If You use or access any Developer Content following the end of the Trial Period, You must cancel Your Setapp Membership subscription in accordance with Section “Setapp Membership” above.

Setapp Membership. When You sign up for a Setapp Membership, we may offer You a free trial (“Trial Period”). You might need to add a payment method to start the trial. If You don’t cancel the subscription before the Trial Period ends, Your Setapp Membership subscription will renew automatically at the regular price. If Your paid Setapp Membership subscription starts after the Trial Period but You don’t use any apps, You can ask for a refund in accordance with our Refund Policy available via link. However, if You do use any apps, You’ll need to cancel Your Setapp Membership subscription following the usual process (written in Section “Setapp Membership” above).

Setapp Single App. When You sign up for a Developer App separately from Setapp Membership subscription, You can be offered a free Trial Period if such functionality was provided by the Developer and for the duration set forth by the Developer. If the Developer offers You a Trial Period, we still may require that You add a valid payment method to activate the trial. The fee for the Developer App will be charged at the end of the Trial Period. We strongly advise You to review the Developer’s End User License Agreement (EULA) or Terms of Use regarding possibility and terms of Trial Period cancellation, as all conditions of the trials within the Single App model are governed exclusively by the Developer’s terms.

Setapp Single App. When You sign up for just one app (not the whole Setapp Membership package), You might get to try it for free first. This free trial is only available if the app maker offers it, and they decide how long the trial lasts. Even for a free trial, You might need to add Your payment information (like a credit card) to start using it. If You don't cancel before the free trial ends, You'll be charged money for the app. We really recommend You look at the app maker's agreement (called an 'EULA') or Terms of Use to see how to cancel Your free trial. The app maker - not Setapp - decides all the rules about trials in the Single App model.

GRACE PERIOD

For Setapp Membership. If You have made at least one payment under the Setapp Membership subscription and we cannot renew Your subscription at the end of the applicable subscription period, we may offer You a grace period (“Grace Period”) of fourteen (14) days. During the Grace Period, You will be able to access Your Account and the Developer App(s). If we are unable to collect payment for the renewed subscription at the end of the Grace Period, You will no longer be able to access the Developer App(s). Access to Your Account will be terminated two weeks following the end of the Grace Period. If You wish to reactivate Your Account after access has been terminated, You will be required to pay the past-due subscription payment in addition to a new subscription payment for the reactivation.

For Setapp Membership. If You've paid for a Setapp Membership subscription and we can't renew it when it's due, we might give You a grace period of 14 days. During this time, You can still access Your account and the Developer App(s). If we still can't renew Your subscription after the grace period, You won't be able to access the Developer App(s) anymore, and Your account will be closed two weeks later. If You want to reopen Your account after it's closed, You'll need to pay the overdue subscription fee plus start a new subscription.

For Setapp Single App. No Grace Period is available for Customers using the Setapp Single App model.

CUSTOMER-DEVELOPER CONTRACT

You acknowledge and agree that although we are a platform to provide Customers access to Developer Content, we are simply the merchant of record - a limited agent of Developers appointed solely for the purposes of (i) collecting funds from Customers and (ii) delivering any Developer Content downloaded by You. If there is an issue regarding Your receipt of downloaded Developer Content, You may contact us to help resolve the issue; however, You acknowledge and agree that (i) the Services is a service enabling Developers to distribute Developer Content, (ii) the Developer Content is derived from files provided by the relevant Developer, and (iii) such Developer is solely responsible for all Developer Content.

You understand that while we provide access to Developer Content, we're just a middleman (the merchant of record) for the Developers. Our role is limited to collecting funds and delivering apps You download. If there's an issue with the apps, You can contact us for help, but You acknowledge that:

  1. We're a service for Developers to distribute their apps.
  2. Apps come from the Developers, and they're responsible for their apps.

Each Developer Content has its own agreement, and You should review it prior to downloading or accessing such Developer Content. The relevant Developer is solely responsible for agreements regulating use of any such Developer Content.

Each Developer has its own agreement with You concerning use of their app, which You should check before downloading the app. The Developer is responsible for these agreements. If a Developer's agreement conflicts with our Terms or rules, our Terms and rules take precedence.

In case when the Developer's agreement contradicts these Terms or the rules, policies, and procedures published on the Services, these Terms, the rules, policies and procedures prevail over Developer's agreement.

DEVELOPER CONTENT AVAILABILITY AND REMOVAL

Subject to the Terms, Developer Content that You purchase or install via Setapp will be available to You through Setapp for the period selected by You, in the case of subscriptions, and in other cases - as long as we have the right to make such Developer Content available to You. In certain cases (for example if we lose the relevant rights, a Service or Developer Content is discontinued, there are critical security issues, or there are breaches of applicable terms or the law), we may remove from Your Device or cease providing You with access to certain Developer Content that You have purchased. You may be given notice of any such removal or cessation, when possible.

When You get apps through Setapp, You can use them:

  • For the time period You paid for (if You're renting); and
  • For as long as Setapp has permission to offer them (in other cases).
Sometimes Setapp might need to remove apps from Your device or stop You from using them. This could happen if, for example but not only:
  • Setapp loses the right to offer the app;
  • The app is discontinued (not made anymore);
  • There are security problems;
  • Someone breaks the rules or laws.
When possible, Setapp will try to warn You before removing an app.

Therefore, You may lose access to downloaded Developer Content, and You acknowledge and agree that neither we nor the Developer will be obliged to provide You with a refund for such Developer Content. However, We may offer You a full or partial refund of the price of the Developer Content if it is possible. If We issue You a refund, the refund shall be Your sole remedy. For more information about possible refunds - please review our Refund Policy which is an integral part of these Terms of Use and available via this link.

If this happens, You might lose access to apps You downloaded. Setapp and the app makers don't have to give you a refund, but Setapp might offer You some or all of Your money back if they can. If we gives You a refund, that's all we need to do to make things right. For more information about refunds, You can read Setapp's Refund Policy available via this link.

THIRD-PARTY APPLICATIONS

The Services may be integrated with third party applications, websites, and services (“Third Party Applications”) to make available content, products, and/or services to You. These Third Party Applications may have their own terms and conditions of use and privacy policies and Your use of these Third Party Applications will be governed by and subject to such terms and conditions and privacy policies. You understand and agree that we do not endorse and are not responsible or liable for the behavior, features, or content of any Third Party Application, or for any transaction You may enter into with the provider of any such Third Party Applications.

The Services might work with other apps, websites, and services ("Third Party Applications") to offer You more stuff. These apps have their own rules and privacy policies, which You have to follow when You use them. We don't support or take responsibility for these third-party apps or any transactions You make with them.

USER CONTENT

The Services are provided for Your own use. You are responsible for all of Your activity in connection with the Services. The Services may include interactive areas where You may post public content and information (in whatever form referred to herein as “User Content”). You are solely responsible for the User Content You post to the Services. You are also solely responsible for Your use of such interactive features and use them at Your own risk. We reserve the right to remove or modify User Content for any reason at our sole discretion. You represent and warrant that no User Content is false, misleading, untruthful, or inaccurate and that the User Content You post does not infringe any patent, trademark, copyright, trade secret, right of publicity, or any other right of any other person or entity.

The Services are for Your own use, and You're responsible for everything You do with them. You might be able to post content (“User Content”) in interactive areas, but You're solely responsible for what You post. We can remove or change Your User Content if we think it's necessary. You promise that Your User Content is truthful and doesn't break any laws.

When You post User Content to the Services, You give us and our affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content throughout the world in any media. To the extent such content is attached to a user profile on the Services, the foregoing license includes a right to reproduce Your profile, and any name, likeness, or photograph contained in such profile.

When You post User Content, You give us and our partners permission to use it in various ways worldwide.

If Your Content (as defined below) is subject to data protection laws (“Personal Data”) and is processed by us as a data processor acting on Your behalf (in Your capacity as data controller), we will use and process Your Content in order to provide the Services and fulfill our obligations under the Terms and in accordance with Your instructions as represented in these Terms. Notwithstanding anything to the contrary, this section of the Terms expresses the entirety of our obligations with respect to Your Content. “Content” means any of Your data, files, documents, and other information uploaded to Your Account for storage or used, presented, or shared with third parties in connection with the Services.

If Your User Content includes personal data, we'll handle it according to data protection laws.

If You submit feedback or suggestions about our Services, we may use Your feedback or suggestions without any obligation to You.

If You give us feedback, we might use it without owing You anything.

YOUR CONDUCT

All User Content shall be free of violent, threatening, vulgar, discriminatory, harassing, illegal, or sexually objectionable content (“Impermissible Content”). You acknowledge and agree not to post any Impermissible Content, not to use the Services for or to further any illegal activity, and to otherwise comply with any policies related to User Content we may implement from time to time. You also acknowledge and agree that nothing in this paragraph limits our rights under Section 16 (Term & Termination) of these Terms.

You agree not to post any content that's violent, threatening, vulgar, discriminatory, harassing, illegal, or sexually inappropriate. Don't use the Services for illegal activities, and follow any policies we have about User Content. This doesn't change our rights to terminate Your account as described in the Terms.

You acknowledge and agree not to misuse Setapp. We may suspend Your Account if you frequently post illegal content. We will issue a warning before such suspension.

You agree not to misuse our platform. Here's what You need to know:

  • Account Suspension: We may suspend Your account if You repeatedly post illegal content. We'll always warn You first.
  • Report Processing: If You keep submitting reports that aren't true, we might stop processing Your reports for a while. We'll warn You before doing this.

We also may suspend processing of notices and complaints from You, if You repeatedly submit unfounded reports. We will issue a warning before such suspension.

When assessing misuse and determining suspension duration, we consider:

  • Number of violations within a timeframe (month, 3 months, half a year, year);
  • Proportion relative to total user activity;
  • Severity of the content/reports;
  • Your apparent intention.

How We Decide: When figuring out if something is misuse and how long to suspend an account, we look at:

  • How many times it happened recently
  • How much of Your activity breaks the rules
  • How serious the problem is
  • Whether You seem to be doing it on purpose

Examples of misuse include posting User Content that promotes violence, terrorism, hate speech, etc., or submitting reports about Content/User Contect/Developer Content that clearly complies with our Terms of Use. This is a non-exhaustive list of misuse examples.

Examples of Misuse: This includes posting things that encourage violence or hatred, or repeatedly reporting content that follows our rules. There are other types of misuse too.

Suspension periods range from 7 days for first violations to permanent termination for severe cases.

How Long: Suspensions can last from 7 days for first-time problems to permanent account closure for serious or repeated issues.

Users may appeal suspension decisions through our Internal Complaint Handling System as described below in Section 15 of these Terms of Use.

Appeals: If You think we made a mistake, You can appeal through our complaint system described in Section 15.

INTERNAL COMPLAINT HANDLING SYSTEM & OUT OF COURT DISPUTE SETTLEMENT

If You encounter any material (including Developer Content, User Content, Content or other information/material) that You believe violates these Terms of Use, constitutes Impermissible Content, or breaches applicable law (including offensive, abusive, or illegal content), You may submit a complaint through our "Reporting content or submitting a complaint" page or by contacting our Support team via email [email protected]. Submitting a complaint is free of charge. We will review all complaints as quickly as possible and notify You of the outcome once a decision has been made.

If You find any content that breaks our rules or the law, You can report it through our "Reporting content or submitting a complaint" page or by emailing [email protected]. Reporting is free, and we’ll review Your complaint as soon as possible and let You know the outcome.

Upon reviewing Your complaint, we may take one or more of the following actions:

  • Decide whether to remove, disable access to, or restrict the visibility of the reported material;
  • Decide whether to suspend or terminate the provision of services, in whole or in part, to the recipient of the complaint;
  • Decide whether to suspend or terminate the recipient’s account;
  • Decide whether to suspend, terminate, or otherwise restrict the recipient’s ability to monetize information.

All decisions will be overseen by appropriately qualified staff and will not be made solely by automated means.

After reviewing Your complaint, we may:

  • Remove, restrict, or disable access to the reported content.
  • Suspend or stop services for the user in question.
  • Suspend or terminate their account.
  • Limit or remove their ability to make money from content.

All decisions will be made by qualified staff, not just automated systems.

If You disagree with our decision, You have the right to challenge it. You may file an appeal within six (6) months from the date You receive our decision. To submit an appeal, please visit our "Reporting content or submitting a complaint page and select the "Appeal a decision made regarding You as a user" field or You can write an email to [email protected]. We will review Your appeal and notify You of the outcome.

If You think we made the wrong decision about Your account, You can appeal it. Here/s how:

  • You have 6 months from when You got our decision to appeal

That’s it! This process is designed to be fair and accessible to everyone.

In addition to our internal complaint process, You have the right to seek alternative dispute resolution through an out-of-court dispute settlement mechanism certified by the Digital Services Coordinator in Your country of residence. For example, in the Republic of Cyprus, this role is fulfilled by the Cyprus Radiotelevision Authority (ΑΡΧΗ ΡΑΔΙΟΤΗΛΕΟΡΑΣΗΣ ΚΥΠΡΟΥ).

You can take Your complaint to an official outside organization if You’re not happy with our answer. In Cyprus, this would be the Cyprus Radiotelevision Authority. Other countries have similar offices called "Digital Services Coordinators." Check Your country’s coordinator website for details.

TERM & TERMINATION

These Terms shall remain in full force and effect until terminated. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

These Terms are valid until they're terminated. WE CAN STOP YOU FROM USING THE SERVICES AT ANY TIME IF WE DECIDE, FOR ANY REASON OR NO REASON AT ALL, INCLUDING IF YOU BREAK THE TERMS OR THE LAW.

WE MAY SUSPEND, TERMINATE, MODIFY OR DELETE YOUR ACCOUNT AND/OR TERMINATE OR SUSPEND YOUR ACCESS TO THE SERVICES AT ANY TIME FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE, WITHOUT ANY LIABILITY TO YOU WHATSOEVER. You acknowledge and agree that we are not required to notify You before suspending or terminating Your Account and/or Your access to the Services.

WE MIGHT SUSPEND, DELETE, OR MODIFY YOUR ACCOUNT OR ACCESS TO THE SERVICES WITHOUT WARNING AND WITHOUT OWING YOU ANYTHING. We're not required to tell You before we do this.

In addition, we reserve the right to take appropriate legal action, including, without limitation, pursuing civil, criminal, and injunctive redress.

We can also take legal action if needed.

Any term or condition of these Terms which by its plain meaning shall be and must be performed after termination shall survive termination.

Some provisions of these Terms will still apply even after Your account is terminated.

GOVERNING LAW & JURISDICTION

Any term or condition of these Terms which by its plain meaning shall be and must be performed after termination shall survive termination.

The Law of Cyprus applies to these Terms, except where the law in Your country requires otherwise.

You and MacPaw further consent to the exclusive jurisdiction of the courts of the Republic of Cyprus for the purpose of settling any dispute, claim, or controversy arising out of or in connection with the Terms (and any non-contractual disputes/claims arising out of or in connection therewith), except where applicable law allows You to choose to bring legal proceedings in Your country of residence, or we are required to bring legal proceedings only in Your country of residence.

You agree to resolve any disputes with MacPaw in the courts of the Republic of Cyprus, unless the law in Your country lets You bring the dispute to court there.

If You are a resident of the European Union

Nothing in these Terms shall deprive You of the protection afforded to consumers by the mandatory rules of law of the country in which You live.

If You're in the EU, You still have rights under Your country's laws.

If you have a complaint, You can email us at [email protected]. We don't use alternative dispute resolution schemes unless stated in the Terms.

You may bring any dispute that may arise under these Terms to the competent court of Your country of habitual residence if this country of habitual residence is an EU Member State, which courts are – with the exclusion of any other court - competent to settle any such a dispute. MacPaw shall bring any dispute which may arise under these Terms to the competent court of Your country of habitual residence.

If You're in an EU Member State, You can also bring a dispute to the court in Your country. MacPaw will do the same.

CLASS ACTION WAIVER

WHERE PERMITTED BY APPLICABLE LAW, YOU AND MACPAW AGREE THAT EITHER PARTY MAY BRING CLAIMS AGAINST THE OTHER, BUT ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR MEMBER IN ANY CLASS OR CLASS ACTION. Unless both You and MacPaw agree, no arbitrator or judge may consolidate more than one person's claims or otherwise rule on any form of a collective or class action.

You and MacPaw agree that if permitted by law, any claims against each other must be brought individually, not as part of a group or class action. An arbitrator or judge can't combine claims from multiple people unless both parties agree.

WARRANTY DISCLAIMER

You may have legal rights in Your country of residence which would prohibit the following limitations from applying to You, and where prohibited, they will not apply to You. To find out more about rights, You should contact a local consumer advice organization.

You might have rights in Your country that override these limitations. If so, they won't apply to You.

YOU EXPRESSLY AGREE THAT THE SERVICES ARE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AND THAT YOUR USE THEREOF IS AT YOUR OWN RISK. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, WE DISCLAIM TO THE MAXIMUM EXTENT PERMITTED BY LAW ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY (I) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, (II) WARRANTIES AGAINST INFRINGEMENT OF ANY THIRD PARTY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS, (III) WARRANTIES RELATING TO DELAYS, INTERRUPTIONS, ERRORS, OR OMISSIONS IN THE SERVICES, OR ANY PART THEREOF, (IV) WARRANTIES RELATING TO THE TRANSMISSION OR DELIVERY OF THE SERVICES, (V) WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF DATA, (VI) WARRANTIES RELATING TO COMPATIBILITY OF SERVICES WITH PARTICULAR OPERATION SYSTEMS AND THEIR UPDATES, AND ANY OTHER WARRANTIES OTHERWISE RELATING TO PERFORMANCE, NONPERFORMANCE, OR OTHER ACTS OR OMISSIONS BY US. FURTHER, AND WITHOUT LIMITING THE GENERALITY OF ANY OF THE FOREGOING, THERE IS NO WARRANTY THAT THE SERVICES WILL MEET YOUR NEEDS OR REQUIREMENTS OR THE NEEDS OR REQUIREMENTS OF ANY OTHER PERSON. IN ADDITION, YOU ACKNOWLEDGE AND AGREE THAT OUR WARRANTY DOES NOT COVER TELECOMMUNICATIONS OR INTERNET OUTAGES CAUSED BY THIRD PARTIES OR OTHERWISE OUTSIDE OF OUR CONTROL. THE SERVICES MAY BE LIMITED BY MANY FACTORS, INCLUDING INHERENT RISKS OF THE INTERNET.

THE SERVICES IS PROVIDED "AS IS" AND "AS AVAILABLE," MEANING THERE’S NO GUARANTEE IT WILL WORK PERFECTLY. SETAPP DOES NOT MAKE ANY WARRANTY REGARDING THE OUTPUTS THAT MAY BE GENERATED FROM USE OF AI FEATURES, INCLUDING WITH RESPECT TO THE FACTUAL ACCURACY OF ANY OUTPUTS OR SUITABILITY FOR YOUR USE CASE. YOU UNDERSTAND AND AGREE THAT YOUR USE OF ANY AI OUTPUTS IS DONE AT YOUR SOLE RISK. DUE TO THE CURRENT NATURE OF TECHNOLOGY, YOU SHOULD NOT RELY ON SETAPP’S AI AS A SINGLE SOURCE OF FACTUAL INFORMATION. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH SETAPP SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

LIMITATION OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL MACPAW BE LIABLE TO YOU OR A THIRD PARTY FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA OR INFORMATION, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES OR ANY THIRD-PARTY SOFTWARE OR APPLICATIONS IN CONJUNCTION WITH THE SERVICES HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF MACPAW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. REGARDLESS, IN NO EVENT SHALL MACPAW'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY DOLLARS ($50.00). THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS ITS ESSENTIAL PURPOSE.

MACPAW WON'T BE RESPONSIBLE FOR PERSONAL INJURY OR ANY INDIRECT DAMAGES. THIS INCLUDES THINGS LIKE LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, CAUSED BY YOUR USE OF THE SERVICES OR ANY THIRD-PARTY SOFTWARE CONNECTED TO IT. EVEN IF MACPAW KNEW ABOUT THE POSSIBILITY OF THESE DAMAGES, WE WON'T BE LIABLE. IN SOME PLACES, LAWS MIGHT NOT ALLOW LIMITING LIABILITY FOR PERSONAL INJURY OR INDIRECT DAMAGES, SO THIS MIGHT NOT APPLY TO YOU. HOWEVER, REGARDLESS OF THE SITUATION, MACPAW'S TOTAL RESPONSIBILITY TO YOU WON'T EXCEED $50.

INDEMNIFICATION

You agree to indemnify and hold harmless us, our affiliates and our and their officers, directors, licensors, partners, licensees, consultants, contractors, agents, attorneys, employees, and third-party service providers (collectively, the “Indemnitees”) from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees (collectively, “Claim(s)”), that actually or allegedly result from Your information, use of the Services, or Your breach of these Terms. You agree to be solely responsible for defending any Claim against or suffered by any Indemnitee, subject to the relevant Indemnitee’s right to participate with counsel of its own choosing, and for payment of damages or losses resulting from all Claims against any Indemnitee provided that You will not agree to any settlement that imposes any obligation or liability on any Indemnitee without our prior express written consent.

You promise to protect and defend us, our partners, and our team from any claims, costs, or expenses that happen because of Your use of the Services or because You break these Terms. If there's a claim against us because of something You did, You'll handle it, but we can join in with our own legal advice. You're responsible for any damages or losses caused by claims against us, but You can't settle any claims without our permission first.

COMPLETE AGREEMENT AND SEVERABILITY

These Terms constitute the entire agreement between You and MacPaw relating to the use of the Services and supersedes all prior or contemporaneous understandings regarding such subject matter. The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches. Any translation of these Terms is done for local requirements, and in the event of a dispute between the English and any non-English versions, the English version of these Terms shall govern, to the extent not prohibited by local law in Your jurisdiction. If any term or provision of these Terms is declared void or unenforceable in a particular situation by any judicial or administrative authority, this declaration shall not affect the validity or enforceability of the remaining Terms and provisions hereof or the validity or enforceability of the offending term or provision in any other situation. To the extent possible, the provision will be interpreted and enforced to the greatest extent legally permissible in order to effectuate the original intent, and if no such interpretation or enforcement is legally permissible, shall be deemed severed from the Terms.

These Terms are the whole agreement between You and MacPaw for using the Services and replace any previous agreements. If one of us doesn't enforce our rights under these Terms, it doesn't mean we're giving up those rights for the future. If there's a dispute about translations, the English version of the Terms will apply. If a court decides that one part of these Terms isn't valid, it won't affect the rest of the Terms. We'll try to enforce the rest of the Terms as much as legally possible. If that's not possible, the invalid part will be removed from the Terms.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Using the Services, sending us emails, and completing online forms constitute electronic communications, You consent to receive electronic communications, and You agree that all agreements, notices, disclosures, and other communications we provide to You electronically, via email and at the Services, satisfy any legal requirement that such communication be in writing.

When You use the Services, send us emails, or fill out online forms, You're using electronic communication. You agree to receive emails and other communications from us electronically, and You understand that these electronic communications fulfill any legal requirements for written communication.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES.

YOU ALSO AGREE TO USE ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO RECEIVE NOTICES, POLICIES, AND TRANSACTION RECORDS ELECTRONICALLY THROUGH THE SERVICES.

You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction that require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

By agreeing to this, You waive any rights that require physical signatures or non-electronic records under any laws.

EXPORT CONTROL AND SANCTIONS

Services may be subject to U.S. export and re-export control laws and regulations or similar laws applicable in other jurisdictions, including the Export Administration Regulations ("EAR") maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control ("OFAC"), and the International Traffic in Arms Regulations ("ITAR") maintained by the Department of State. You warrant that You are (1) not located in any country to which the United States has embargoed goods or has otherwise applied any economic sanctions; and (2) not a denied party as specified in any applicable export or re-export laws or regulations or similar laws applicable in other jurisdictions or otherwise listed on any U.S. government list of prohibited or restricted parties.You agree to comply with all applicable export and reexport control laws and regulations, including without limitation the EAR and trade and economic sanctions maintained by OFAC. Specifically, You agree not to – directly or indirectly – use, sell, export, reexport, transfer, divert, release, or otherwise dispose of any products, software, or technology (including products derived from or based on such technology) received from MacPaw under these Terms to any destination, entity, or person or for any end-use prohibited by the EAR, trade and economic sanctions maintained by OFAC, or any applicable laws or regulations of the United States or any other jurisdiction without obtaining any required prior authorization from the competent government authorities as required by those laws and regulations.

The Services might be regulated by U.S. export laws and similar laws in other places. You promise that You're not in a country under U.S. economic sanctions and that You're not on any list of restricted parties. You agree to follow all export control laws, including not sending the Services to places or people that the law prohibits. You won't use, sell, or transfer the Services in ways that break these laws without getting permission from the government first.

ASSIGNMENT

MacPaw may assign any or all of these Terms, and may assign or delegate, in whole or in part, any of its rights or obligations under these Terms. You may not assign these Terms, in whole or in part, nor transfer or sub-license Your rights under these Terms, to any third party.

MacPaw can give its rights and responsibilities under these Terms to someone else if there is a necessity. But You can't give Your rights or responsibilities to anyone else.
